3.1 Browntape

·       The app licensing and commercials work on the basis of orders, locations, and other combinations of data points in the app. These shall be mentioned in the order

·       The app access is controlled by a prepaid amount which could be exhausted basis the usage of the app as determined by the formula set forth in the order.

·       A recharge governed by the minimum recharge stipulated in the order is required to continue to access the app.

·       Users having access to the system may still have access to review data, at the discretion of GSL, but actual data processing would require the commercial stipulations to be met.

3.2 EMG

·       The app licensing and commercials work on the basis of invoices, GSTINs, GST returns, or other combinations of data points in the app. These shall be mentioned in the order

·       The app access is controlled by a subscription amount which could be exhausted basis the usage of the app as determined by the formula set forth in the order.

·       A recharge governed by the minimum recharge/ subscription fee stipulated in the order is required to continue to access the app.

·       Users having access to the system may still have access to review data at the discretion of GSL, but actual data processing would require the commercial stipulations to be met.

3.3 Ginesys ERP, Ginesys Desktop POS, Zwing, Ginesys BI

·       The access is governed by license control where a license is a discrete unit of the software defined in terms of user access license, device access, API access, or module access license. A license is typically but not solely created by creating a registered user account (“User Account”) in the Platform.

·          GSL has implemented a “License Key” i.e. a software-based lock and key concept for these Products.

·       The type and count of licenses offered in the subscription are mentioned in the proposals and addendums signed by you.

·       License is being counted for the access of these products via any mode including but not limited to the front-end user interface, mobile applications, API access, and others.

·       These licenses are issued in terms of “named user”, and should be used only by the given specific user account in a single active session. You may change, add or remove a designated named user in accordance with procedures given by us.

·       These products must not be used at any point in time by more than the number of licenses subscribed in the current subscription period.

·       License Key is issued only in accordance with the scope of modules purchased and activated, number of users (number of concurrent users supported at the licensed site server), and term of the license purchased by the Licensee. It is referred to as the ‘License Volume’.  You shall not use the Product beyond the ambit of the License Volume issued under any circumstance.

·          It is illegal to use/ install these Products without a valid License Key. If the key is corrupted or becomes invalid, the product will not operate. GSL is not responsible for any damage or loss to the business or performance being affected or resulting from the loss or corruption of the License Key.

·          If the License Key is inoperative then GSL may replace such an inoperative key. GSL has the right, if it sees a wilful misuse of the key, not to replace the inoperative key. GSL may also not provide further maintenance on such installation.

·          You (i.e. your system administrator) may allocate licenses to users and/or sites through the license manager included in the application.

·         From time to time, you may require temporary access to users (e.g. for auditors). You may request additional temporary access for a limited period. The minimum period this can be issued for is a month. Additional subscription fees as per the then-current rates in your subscription will be charged. This will not be changing the base subscription period as per the order form.

3.4 Ginesys EMR
This is not an app directly used by You. It is required to integrate various Third Party Products that you may have requested to integrate with Ginesys ERP, Ginesys POS, or Zwing POS. Without EMR it is not possible to enable the Third Party product to work with Ginesys. The commercials could be per store, per user, or on a per transaction basis depending on the nature of the transaction, and will be mentioned in your order form.

This fee is required to be paid on time to ensure smooth data flow between Ginesys and the Third Party Product and continued support for this. Third-Party Vendors would charge their separate commercials for their services and products. GSL's EMR commercials are not linked to
the Third Party Vendor's commercials. GSL shall be responsible for providing support to You and the Third Party Vendor to ensure any defects in the integrations are resolved as soon as possible as per the severity and internal priority.
